A reminder that the clock is ticking for Incorporated Societies to re-register under the new Incorporated Societies Act 2022 (the Act).

The Act came into force on 5 October 2023 and required all incorporated societies (including those that are also registered charities) to be re-registered by 5 April 2026. The transition may take some time to discuss and agree with a Society’s members, so we recommend early action.

Incorporated Societies that fail to re-register could cease to exist. This could impact limited legal liability, commercial arrangements and legal documents such as lease agreements, distribution of assets, name protection and in the case of Societies that are also Charities, re-application of charitable status under the Charities Act 2005.

Our earlier article raised financial reporting obligations for Incorporated Societies and exemptions available for ‘small’ societies. Societies with operating expenditure over $3 million must also be audited, unless they are subject to different criteria under the Charities Act.
